Introduction

These "Terms of use" are a binding contract between Marktine Technologies (also known as "Vriti") having their primary base in Ridhi Sidhi, Keshav Vihar, Jaipur, Rajasthan, India and the user of the services in any of the following capacities: Recruiter, Candidate, Problem setter or User. This contract applies to the Services offered by Vriti , which include recruitment management, job advertisement, job application, and other services through the Vriti web platform, tools, and services, websites, mobile application, configuration, setup, and training and customer care services. Users must read these terms carefully before using the services and by accessing or using them, they represent that they are authorized to enter into the terms on behalf of the user and agree to them. If they do not agree to these terms, they may not access or use the website, mobile app, or any services.

Scope Of the Agreement


1. Recruiter

Vriti will provide the user with a range of services and features, such as the ability to browse, screen and track potential candidates, manage their own hiring process, and store recruitment data, in exchange for consideration (e.g. fees, charges etc). These services may include creating and publishing job openings, viewing candidate profiles, and communicating with shortlisted candidates. However, the scope of these services will be limited by the subscription plan that the user has chosen to subscribe to. In addition, users may be given a free trial subscription with limited access to Vriti's features and services, which can be converted to a paid subscription upon payment of fees. Once the free trial period is over, continued access to Vriti's services will require payment of fees, and Vriti will not be obligated to return any data entered or generated through Vriti to the user.

2. Quiz Master/Survey Maker/ Assessor/Problem Setter

Quiz Master/ Assessor/Survey Maker/Problem Setter can submit unique content, such as questions, problems, hackathon ideas, challenges, etc. to Vriti for the creation of its online assessment service or for any other purpose Vriti deems fit. By submitting the content, users (Quiz Master/ Assessor/Survey Maker/Problem Setter etc )guarantee that it is their own property and has not been submitted to any other similar service in the recruitment, careers, learning, and education industries and that it does not violate any laws or agreements, or rights of others. If Vriti finds any fraud or misrepresentation in the content and information provided, it reserves the right to suspend or terminate the user's account. Vriti may accept the content at its discretion, and the user can withdraw the content before it is accepted. Once accepted, the content becomes the intellectual property of Vriti and the user agrees to grant Vriti a worldwide, transferable, and sub-licensable right to use, copy, modify, distribute, publish, and process the content without any further consent, notice, and/or compensation. Users may be awarded rewards such as "Credits" or "Cashbacks" for their content, as deemed fit by Vriti, which may be redeemable for eligible premium services on Vriti. Vriti reserves the right to discontinue the reward program and stop recognizing any credits and cash already accumulated in the user's Vriti account at its discretion

3. Candidate/Job Seeker

Vriti offers candidates services such as posting resumes, browsing and applying for job postings and communicating with other users. They may earn rewards such as "Credits" or "Cashbacks" for using the service, but these rewards are non-transferable, have no monetary value, and Vriti has the discretion to allow them to be used for eligible premium services. Vriti also has the right to discontinue the reward program and stop recognizing any credits and cash accumulated in the candidate's Vriti account. Candidates understand that Vriti doesn't make any guarantee nor warranties that uploading their resume in the services will lead to an interview or job offer invitation

4. Usage

Vriti reserves the right to make changes to the services and subscription plans, and will notify the users of any changes in accordance with the terms. By continuing to use the service after receiving notice of changes, the user agrees to abide by the updated terms. Vriti and the user are considered independent contractors and the terms do not establish any partnership, joint venture, employer-employee, or agency relationship. Vriti's responsibilities are limited to providing the services, and do not include acting on behalf of the user.

Account Registration


1. Verification Of User Account & Profile

To create a user account with Vriti, you must provide a valid email and phone number and other requested information. You must also be 18 years or older and have the legal authority to create a binding legal obligation. Your account belongs to you and the person paying for the service has the right to control access and view reports, but not your personal account. Vriti may verify the information you provide and if they suspect it is not genuine, they have the right to delete and suspend your account without refunds. Additionally, you must not be restricted by any laws or orders from using Vriti's services

2. Plan Subscription & Terms

We offer monthly, quarterly, or yearly subscription plans that are subject to change at our discretion. Users will be notified of any changes and activation of subscription plans through the Services. The subscription term is different for free trial accounts and paid premium accounts. For free trial accounts, the term is the time period from registration to the end of the trial. For paid premium accounts, the term is the time period from registration and payment until the plan ends or is canceled.

Payments & Refunds


1. Payment

All amounts for non-free trial accounts are due in full and payable in advance (at the start of the subscription term) and are based on the chosen subscription plan. The fees can be paid through various methods provided by our platform through its services

2. Refunds

All fees paid by the user are non-refundable, and the user agrees that no refunds will be given for opting out, cancellation, non-use, or partial use of the services

3. Taxes

The user is responsible for paying all applicable taxes on the amounts mentioned, which do not include GST or other taxes. We may include these taxes on the invoice if legally required.

Rights & Use


1. Recruiter

During the subscription period, the user is granted limited and revocable access to the service for internal business and hiring purposes and must assume full responsibility for its use by representatives or third parties. The user also has a limited, non-transferable, and revocable right to download, install, and use the Vriti platform for accessing the service, all subject to the terms and conditions of the service. The service should only be used for actual vacancies in real organizations and any attempt to advertise fake jobs or collect resumes for any other purpose is prohibited. Users should only use the service to fill jobs for the company they are authorized to hire for, whether as an employee or hiring agents. Recruitment agents not employed by the company must disclose this to job seekers. The user must not operate a user account without legal authority, violation of this clause may result in account deactivation or termination with no refunds or account data provided. The user agrees to use candidates' personal data in a lawful manner, in accordance with EU-GDPR, and strictly for the purposes specified in the terms. Recruiters are prohibited from using candidates' personal data in any manner inconsistent with the terms or applicable laws. The user also agrees and warrants that it has obtained lawful and legitimate consent from any person before uploading and/or entering their personal data on the Vriti platform

2. Candidate

The user has limited, revocable rights to access and use the service for job seeking, communicating with recruiters and collaborating with other users, and also has the limited, non-transferable, and revocable rights to download, install and use the Vriti Platform to access the service, all subject to the terms and conditions. The user must provide their real name and a recent profile picture that is of their likeness alone, violation of this may lead to suspension of the account. The service allows messaging and sharing of information, all the information and content shared or posted by the user may be seen by other users or, if public, by visitors. Vriti provides the user the facility to change such settings and will make reasonable efforts to honor the user's choices. Vriti may remove any information or content on its service at its own discretion, with or without notice. The user may not imply or state any endorsement or affiliation with Vriti except as a user of Vriti. The service must be used in compliance with all applicable laws including, without limitation, all intellectual property laws as well as all regulatory requirements. Vriti may delete the user's content if it has reason to believe that these terms or any applicable laws have been violated by posting such content.

3. Employer

As an employer, you have agreed to use Vriti’s services for seeking potential employees and will be bound by the Employer Terms outlined in the document. We will charge a non-refundable fee for our services and the employer will be responsible for providing valid credit or debit card details and complying with all applicable laws. The employer will ensure that access to the services is limited to its employees, not share login ID and password and not misuse or misappropriate the services or information provided. The employer will not charge a fee from any person contacted through our platform and will ensure that the jobs sought to be filled through the platform are genuine. They will also maintain security practices and procedures for personal data that are consistent with industry standards and comply with all applicable laws. They will only use, access or process personal data as per our direction and for the intended purpose.

4. Don’ts’s For the User

It is not allowed to disrupt the service or use it for illegal or fraudulent activities, scraping data, harming other users, or for any illegal or harmful purpose. Using the website's material for commercial purposes without permission is prohibited, this includes republishing, selling, renting, reproducing, modifying, or redistributing. The user is responsible for all the content and communications sent through their account and must not communicate any message or post any content that may be libelous, harmful to minors, constitutes pornography, infringes intellectual property rights, contains harmful materials, or encourages criminal conduct. The user is not allowed to use the service in a way that harms the company or its advertisers, affiliates, or customers, and may not use any automated process or service to access or use the service or unauthorized means to modify or reroute the service. The user must not damage, disable, overburden or impair the service or interfere with anyone's use of it. The user must not conduct any systematic or automated data collection activities on or in relation to Vriti.

Term, Renewal & Third-Party Services


1. Terms

All terms and conditions in these Terms will be in force until the expiration of the Subscription Term, unless terminated earlier, except for the obligations regarding Confidentiality, Intellectual Property Rights, and Indemnity

2. Renewal

Upon the expiry of the current Subscription Term, the plan will automatically renew for a term equal in length to the expiring term. Users must cancel their subscription before renewal to avoid charges, and We may terminate or suspend the user's account at any time for any reason. Users can cancel their accounts at any time, but no refunds will be given. Any amounts owed prior to termination remain owed after termination. Users should backup their content before termination or cancellation as Vriti is not responsible for returning any content or data loss

3. Third-Party Services

We may partner with third-party vendors to provide certain services such as background checks and eligibility tests for candidates etc. However, Vriti does not take any responsibility or provide any warranties for these third-party services.

Intellectual Property and Proprietary Rights


1. IP Rights and Use

The Vriti web platform, mobile app, and other services, including the website, are owned by Marktine Technologies, who holds all intellectual property rights, including trademarks, copyrights, and trade secrets. Users are not allowed to use any content or material on the website for commercial purposes without prior consent from Marktine Technologies. Users are also not allowed to use, copy, reproduce, modify, or exploit any proprietary rights not owned by them without prior written consent from Marktine Technologies. The product and service names and logos used on the website are registered or unregistered trademarks that belong to Vriti, and users can only use them to identify themselves as subscribers of the services they have subscribed to

2. If Your Usage Is in Capacity as A Candidate or Recruiter

The user retains ownership of all content uploaded to the Services and grants Vriti a non-exclusive license to use it. The user can end this license by deleting the content or closing their account, but it will still be visible to others who have copied or stored it. Job postings on Vriti will be publicly available and Vriti has the right to edit and format the user's content but not change its meaning. The user must provide accurate information and not violate any laws. Vriti can terminate the user's account if there is any fraud or misrepresentation. Vriti will also have a royalty-free, worldwide, transferable, sub-licensable, irrevocable and perpetual license to incorporate into the Service(s) or Website or otherwise use any suggestions, enhancement requests, recommendations or other feedback that it receives from the user.

Confidentiality


Confidential information shared by the User to Vriti can only be used or disclosed for specific purposes outlined in the terms and with the User's permission. Information that is already public, required by law, acquired from another source, and already known or independently developed by Vriti, is not considered confidential. Vriti may disclose this information to its employees and agents who need to know it for the purpose of fulfilling their obligations under the terms and are obligated to keep it confidential

Limitation Of Liability


Vriti will not be held liable for any damages resulting from the use or inability to use the Services, statements, or conduct of any third party on the Service, or the cost of procurement of substitute services. Vriti's maximum liability shall not exceed the total Fees received from the User for the past 12 months. Vriti will not be liable for any loss or injury resulting from unauthorized access of the Service or User's Account, and will also not be liable for any loss caused by interruptions to the Services due to maintenance, upgrades, and emergency repairs or due to a failure of telecommunications links and equipment.

Warranty Disclaimer


Vriti provides the Service on an "as-is" and "as available" basis, with no guarantees to the accuracy or timeliness of the information available. Vriti also does not review content provided by Users and Users are personally liable for any information or content they provide. Users may encounter content that is inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful and Vriti is not responsible for any damages resulting from the use or reliance on such content. Our Services are limited to displaying Candidates that fit the requirements posted by the User, which does not guarantee a suitable candidate. We do not guarantee or offer warranty about the credentials of prospective employers and is not liable for them. Users are responsible for checking the authenticity of communication received through the Services, and Vriti is not responsible for any actions taken by the User based on such communication. The content on our Website, Mobile App or other Service is provided for general information only and is not intended as advice. Vriti does not warrant that the functions or features will be uninterrupted, secure, or free of errors, that any defects will be corrected, or that the services or servers that make the Services available are free of viruses or other harmful components.

Warranty Disclaimer


Vriti provides the Service on an "as-is" and "as available" basis, with no guarantees to the accuracy or timeliness of the information available. Vriti also does not review content provided by Users and Users are personally liable for any information or content they provide. Users may encounter content that is inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful and Vriti is not responsible for any damages resulting from the use or reliance on such content. Our Services are limited to displaying Candidates that fit the requirements posted by the User, which does not guarantee a suitable candidate. We do not guarantee or offer warranty about the credentials of prospective employers and is not liable for them. Users are responsible for checking the authenticity of communication received through the Services, and Vriti is not responsible for any actions taken by the User based on such communication. The content on our Website, Mobile App or other Service is provided for general information only and is not intended as advice. Vriti does not warrant that the functions or features will be uninterrupted, secure, or free of errors, that any defects will be corrected, or that the services or servers that make the Services available are free of viruses or other harmful components.

Indemnity


The user agrees to protect and defend Vriti from any third-party claims or demands arising from the user's use of the service, violation of intellectual property rights, terms or Vriti's privacy policy, or violation of any rights of others. Vriti has the right to defend and handle disputes at its own expense, and the user must cooperate in any defenses. Vriti will not be held liable for any damages from modified use of the service or materials not provided by Vriti or from any content, information or data provided by Candidates or third parties. This indemnification is the user's only remedy for any violation by Vriti of any third party's intellectual property rights.

Governing Law & Jurisdiction


The jurisdiction of any legal action related to these terms will be held in courts in Jaipur, India and the service is controlled and operated by Marktine Technologies Software Pvt. Ltd. from India. The service is not intended for use in other jurisdictions and users accessing the service do so at their own risk and are responsible for compliance with local laws. Marktine Technologies Software Pvt. Ltd. may limit the availability of the service to certain individuals or areas at any time and at their sole discretion

Miscellaneous


1. Notice & Notification

The user agrees that Vriti can provide notices through various means, such as a banner on the service, email, mobile number, telephone, or mail. The user is responsible for keeping their contact information up to date as we will not be held liable for any damages that arise from incorrect or out-of-date information.

2. Modification & Language

LanguageVriti may update its terms and conditions to improve the service, it is the user's responsibility to stay informed of these updates. We will notify the user of any significant changes either by posting a notice or by sending an email to the user's registered email address. By continuing to use the service after the changes are made, the user agrees to be bound by the updated terms and conditions.If Vriti has provided a translation of the English language version of the terms of use, the translation is only for convenience and the English version will govern the relationship with us. In case of any contradiction in case of translation to another language, the English version takes precedence over the translation.

3. Severability

This agreement's provisions are severable and if any provision is found to be invalid, it will not affect the validity of other provisions. If any provision is prohibited by law or deemed unenforceable, it will be severed from the agreement and rendered ineffective while not affecting the other provisions or the overall validity and enforceability of the agreement. If any provision has two possible interpretations, the one that makes it valid will be chosen.

4. Waiver

A delay or failure by either party to exercise any right, power, or privilege under the agreement shall not be considered a waiver. Additionally, a single or partial exercise of any right, power, or privilege shall not prevent either party from enforcing compliance with the obligations under the agreement on a subsequent occasion.

5. Force Majeure

Vriti will not be held responsible for any delays or failure in fulfilling its obligations or providing services if the delay or failure is caused by an event or circumstance beyond our control.

6. Complete Understanding

These Terms of Use, the Privacy Policy and the Cookie Policy contain the entire understanding of the parties, and there are no other written or oral understandings or promises between the parties with respect to the subject matter of these Terms of Use other than those contained or referenced in these Terms of Use.

7. Feedback & Complaint

Vriti respects the intellectual property rights of others and requires that information posted on its platform be accurate and not in violation of the rights of third parties. Users can report any inaccurate or untruthful content or violations to Vriti by emailing complaints@vriti.ai or by sending feedback at Marktine Technologies, Jaipur India
